Terms applicable to digital services provided by Artdantech to professional clients.
These Terms & Conditions of Sale govern the services provided by Artdantech, including website creation, redesign, web design, development, technical support, maintenance and consulting.
These Terms apply to any order placed with Artdantech by a professional client.
Any approval of a quote, proposal, contract or purchase order implies full acceptance of these Terms.
The contractual relationship between the parties is governed, in order of priority, by:
Any service shall be subject to a quotation, commercial proposal or contract.
The order becomes final upon written approval by the client and, where applicable, payment of the required deposit.
Prices are stated in euros, excluding taxes, and are subject to VAT at the applicable rate.
Unless otherwise stated in the quote, payments shall be made according to the following schedule:
Any late payment may result in the application of late payment penalties and statutory recovery costs, where applicable under the relevant law.
Artdantech reserves the right to suspend any ongoing services until full payment of the amounts due.

Delivery timelines are provided for information purposes only, unless expressly agreed otherwise in writing.
Any delay caused by a lack of cooperation from the client, late delivery of content, changes to the initial scope or the intervention of a third party shall result in a corresponding extension of the schedule.
Any new request, additional feature, substantial change or work outside the initial scope may be subject to additional pricing and schedule adjustments.
The client shall have 7 business days from the delivery of any deliverable to submit comments or requests for changes.
If no written feedback is provided within this period, the deliverable may be deemed approved.
Final delivery or website launch may be subject to full payment of all amounts due.
Any intervention after delivery, outside the initial scope or outside a maintenance agreement, shall be billed separately.
Unless otherwise stated, maintenance, updates, hosting, backups and recurring support are not included in website creation or redesign services.
Such services are subject to a separate quote or agreement.
All creations, mockups, developments and deliverables remain the property of Artdantech until full payment has been received.
Upon full payment, the rights to the elements specifically created for the client are transferred to the extent necessary for the project’s intended use.
Unless the client expressly objects in writing, Artdantech may mention the completed project, the client’s name and logo as part of its portfolio and marketing materials.
Each party agrees to keep confidential any non-public information exchanged in connection with the contractual relationship.
Artdantech is bound by a best-efforts obligation.
Its liability shall be limited to direct damages proven to result exclusively from its fault.
Artdantech shall not be liable for indirect damages, loss of business, client-provided content, hosting failures, third-party services or external interventions.
In the event of cancellation or interruption of the project after work has started, all sums already paid shall remain acquired as compensation for work undertaken.
All services already performed or committed remain due.
These Terms & Conditions of Sale are governed by French law.
In the event of a dispute, and failing an amicable resolution, jurisdiction shall be assigned to the competent courts within the jurisdiction of Paris, subject to any mandatory legal provisions to the contrary.
