1. Purpose

These Terms of Service govern the services provided by Artdantech, including website creation, redesign, UI/UX design, development, technical consulting, maintenance and support.

2. Scope

These Terms apply to all orders placed between Artdantech and professional clients.

Accepting a quote, contract or purchase order constitutes full acceptance of these Terms.

3. Contractual Documents

The contractual relationship is governed, in order of priority, by:

• the signed quote or contract,
• any validated annexes or specifications,
• these Terms of Service.

4. Orders

Every service engagement is formalised through a quote, commercial proposal or contract.

An order becomes binding upon written confirmation and, where applicable, receipt of the initial deposit.

5. Pricing & Payment

All prices are quoted in euros, exclusive of VAT, which is charged at the applicable rate.

Unless otherwise stated in the quote, the default payment schedule is:

• 40% upon order confirmation,
• 40% mid-project,
• 20% upon delivery.

6. Late Payment

Any overdue payment will automatically incur late payment penalties calculated at the ECB rate plus 10 percentage points, along with a fixed recovery fee of €40, effective the day after the due date.

Artdantech reserves the right to suspend all ongoing services until full payment is received.

7. Client Obligations

The client agrees to:

• provide a clear and complete project brief,
• supply all required content, access credentials and information,
• designate a single point of contact,
• collaborate actively throughout the project,
• warrant ownership or full usage rights over all content provided.

8. Timelines

Timelines are provided as estimates unless expressly agreed otherwise in writing.

Any delay caused by insufficient client collaboration, late delivery of materials, scope changes or third-party intervention will extend the project timeline accordingly.

9. Scope Changes

Any new request, feature addition, significant modification or work outside the original scope may result in a supplementary quote and revised timeline.

10. Deliverable Approval

The client has 7 business days from delivery of any milestone to submit written feedback.

Failure to respond within this period will be deemed as unconditional acceptance of the deliverable.

11. Delivery & Launch

Final delivery or website launch may be conditional upon receipt of full payment.

Any post-delivery work outside the original scope or maintenance contract will be subject to additional invoicing.

12. Maintenance

Unless otherwise specified, ongoing maintenance, updates, hosting, backups and support are not included in a creation or redesign project.

These services are subject to a separate contract or quote.

13. Intellectual Property

All designs, mockups, code and deliverables remain the property of Artdantech until full payment is received.

Upon full payment, usage rights to elements specifically created for the client are transferred on a non-exclusive, worldwide basis for the legal duration of copyright protection.

14. Portfolio Reference

Unless the client objects in writing prior to project completion, Artdantech may reference the project, client name and logo as a case study or portfolio entry across its communication channels.

15. Confidentiality

Both parties agree to keep confidential any non-public information exchanged during the engagement, for the duration of the contract and for 3 years thereafter.

16. Limitation of Liability

Artdantech is bound by an obligation of means, not of results.

Our liability is limited to direct, proven damages attributable solely to our fault, capped at the net amount invoiced for the service in question.

We are not liable for indirect damages, loss of revenue, client-supplied content, hosting failures, third-party services or external interventions.

17. Force Majeure

Artdantech shall not be held liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, strikes, power outages or government restrictions.

Artdantech will notify the client as soon as possible. If the situation is temporary, obligations will be suspended. If permanent, the contract may be terminated without indemnity on either side.

18. Termination

If a project is cancelled or suspended after work has commenced, all amounts already paid are retained as compensation for work performed.

Any services already delivered or initiated remain due and payable.

19. Governing Law

These Terms are governed by French law, regardless of the client's country of establishment.

In the event of a dispute, and in the absence of an amicable resolution, exclusive jurisdiction is granted to the courts of Paris, France, unless mandatory legal provisions provide otherwise.
